Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:

• "Studio" or "we" / "us": Mutaz AI Studio, the entity providing the services
• "Client" or "you": Any individual or organization requesting or engaging our services
• "Services": All offerings including AI consulting, data analysis, dashboard development, social media management, and AI-powered content creation
• "Deliverables": Any materials, outputs, or files transferred to the client upon project completion
• "Project Agreement": The written document or correspondence defining the scope and details of each project

Scope of Services

The scope of each project is defined in a separate Project Agreement or confirmed in writing before work begins. Any work outside the agreed scope is treated as a new request and quoted separately.

• No scope changes are implemented without written approval from both parties
• Changes after project commencement may affect timeline and cost
• We reserve the right to decline any project that conflicts with our values or capabilities

Agreement & Acceptance

Written confirmation received through any of the following channels constitutes a legally binding agreement:

• Email correspondence
• WhatsApp or any messaging application
• Social media platforms
• Digital or physical signature on a Project Agreement

Payment Terms

All prices are quoted in Saudi Riyal (SAR) and are exclusive of Value Added Tax (VAT) unless otherwise stated. VAT (15%) will be applied where applicable in accordance with Saudi regulations.

• Initial Payment: A non-refundable deposit of 50% of the total project value is required before work begins
• Final Payment: The remaining balance is due prior to delivery of final deliverables
• Payment Methods: Mada, Visa, Mastercard, Apple Pay via secure payment link
• Payment Due Date: Invoices are due within 3 business days of issuance
• Late Payment: We reserve the right to suspend work until full payment is received

Revisions & Modifications

Each project includes a defined number of revision rounds as specified in the Project Agreement. Default terms include:

• Two (2) rounds of revisions included at no extra cost
• Additional revision rounds are billed at a fixed or hourly rate
• Revision requests must be submitted within 7 days of delivery
• All revision notes must be consolidated in a single message — separate requests count as separate rounds

Timeline & Delivery

Timelines are estimated and communicated before work begins. Delays caused by the client (late feedback, missing assets, delayed approvals) may extend the delivery date without any liability to Mutaz AI Studio.

• Timelines begin from the date the initial payment is received
• Rush projects may incur additional fees
• We will notify the client promptly of any delays on our end

Project Suspension & Termination

Mutaz AI Studio reserves the right to take the following actions under the stated circumstances:

• Suspension: If the client is unresponsive for more than 14 business days
• Termination: In the event of a material breach of any of these terms
• Rescheduling: Additional fees may apply when resuming a previously suspended project

Cancellation & Refund Policy

We understand that plans change. However, our time and resources are committed once a project begins.

• Before work begins: Full refund of initial payment, minus any administrative fees
• After work begins: No refund on completed work; remaining balance may be adjusted based on progress
• After final delivery: No refunds on completed and approved deliverables
• Client delay over 14 days: We may cancel the project and retain the initial payment as compensation

Intellectual Property

Upon receipt of full payment, the client receives full ownership rights to the final deliverables, unless otherwise agreed in writing.

• Ownership remains with Mutaz AI Studio until full payment is received
• We retain the right to showcase work in our portfolio unless the client requests confidentiality in writing
• Third-party tools or templates used may carry their own licensing terms
• AI-generated content is subject to the terms of the AI platform used
• Deliverables may not be resold or redistributed as standalone products without prior written consent

AI Disclaimer

Some of our services rely on artificial intelligence tools to enhance quality and speed, with human oversight applied to ensure the highest possible accuracy. By engaging our services, the client acknowledges and agrees to the following:

• AI-generated outputs are probabilistic in nature and may contain errors or inaccuracies
• We do not guarantee 100% accuracy for any AI-generated content, analysis, or recommendation
• Output quality may be affected by the quality of data and information provided by the client
• Business, financial, or legal decisions made based on our outputs are the sole responsibility of the client
• We strongly recommend reviewing all outputs with qualified professionals before making critical decisions

Third-Party Services

We may rely on external tools and platforms in delivering our services. We are not responsible for:

• Outages or failures of third-party services
• Changes to their policies or pricing
• Any direct or indirect results arising from their use

Client Responsibilities

To ensure smooth delivery and best results, the client agrees to:

• Provide accurate, complete assets and information on time
• Respond to questions and review requests within 3 business days
• Designate a single point of contact for project communications
• Ensure all provided content does not infringe any third-party rights
• Provide required access credentials (accounts, API keys) in a timely manner

Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. We will not disclose your data, strategies, or business details to any third party without your explicit written consent.

Limitation of Liability

Mutaz AI Studio is not liable for any indirect, incidental, or consequential damages arising from the use of our deliverables, including but not limited to:

• Loss of revenue or profits
• Data loss or corruption
• Business interruption
• Damages from decisions made based on our outputs

No Guarantee of Results

We deliver our services to the highest professional standards; however, we do not guarantee specific business outcomes, including:

• Increased sales or revenue
• Audience growth or engagement
• Improved business performance
• Specific return on investment

Prohibited Use

The client agrees not to use our services or deliverables for any of the following:

• Any illegal activity or activity that violates Saudi regulations
• Creating misleading, fraudulent, or impersonating content
• Infringing the intellectual property rights of any third party
• Reselling or redistributing services without prior written permission
• Any activity that harms the reputation or interests of Mutaz AI Studio

Force Majeure

Mutaz AI Studio shall not be liable for delays or failures in service delivery caused by circumstances beyond our reasonable control, including:

• Outages or failures of external AI platform APIs
• Server failures or internet infrastructure disruptions
• Material changes to the policies of platforms we use
• Natural disasters, pandemics, or other exceptional circumstances
• Government or regulatory decisions affecting service delivery

Indemnification

The client agrees to indemnify, defend, and hold harmless Mutaz AI Studio from any claims, damages, or legal liabilities arising from:

• Use of deliverables in a manner inconsistent with these terms
• Providing inaccurate or misleading information at project start
• Violation of any applicable laws or regulations
• Infringement of third-party rights through the use of our deliverables

Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable under applicable law, that provision shall be deemed severed from the rest of the agreement.

Governing Law

These Terms and Conditions are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall first be resolved through good-faith negotiation between both parties. If unresolved within 30 days, disputes shall be referred to the competent courts in the Kingdom of Saudi Arabia.

Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website with an updated effective date. Continued engagement after any update constitutes implicit acceptance of the revised terms.
